Does anyone have any comments regarding the resale of the "Free" premise software? Can we still sell the product to our clients? Are there any obvious legal ramifications?

The area is a little grey. In the most liberal interpretation, my sense is that you can do whatever you want (within reason) with the compiled code since there is no license restriction on download. This isn't protected by GNU or any such public domain license agreement which would restrict commercial use.

If someone took you to task, however, you'll find that you cannot legally charge a 'license fee' since you have no such rights to do so from those who hold the license (Motorola). What you could do is charge a 'software acquisition fee' for your time, effort, knowledge, resources, etc. if you want to charge the customer for the software or bury the cost in the system design & development costs.

To be safe, I wouldn't call out a specific line item for the Premise software on the project bid... besides, you really don't need to... you can build in additional margin elsewhere.
